We seek a Corporate Paralegal to join our dynamic practice and support the partner managing a sophisticated corporate law practice and help us create an energizing environment that promotes success for our clients and each other.
The Corporate Paralegal provides legal and administrative support to the Corporate Partner related to commercial contracts, corporate governance, and start up ventures. The Corporate Paralegal may support other departments on minor legal issues.

Job Description:

• Reviews, redlines and prepares contracts (SPA's, APA's, distribution and supply agreements, licensing, NDA's etc.) for Partner review.
• Assists in corporate transactions, such as M&A and joint ventures.
• Corporate entity formation, qualifications to do business, withdrawals, dissolution, mergers, conversions, and legal name changes
• Prepare typical corporate deliverables including resolutions, certificates, operating agreements, and membership interest certificates and maintain electronic database of corporate information
• Assist lawyers in preparation for and management of the closing process for M&A including by preparing and managing closing checklists, tracking signature pages, ordering good standings and certified formation documents, etc.
• Conducts legal research and special projects in support of the Corporate Legal team.
• Manages the billing process, reviewing reports generated by specialized legal billing software.

Job Qualifications

• Corporate Paralegal experience required
• Minimum five years of relevant corporate law experience
• Paralegal Certificate from ABA-accredited program required
• Additional language a plus but not required
