Corporate/Real Estate Paralegal
About the Opportunity:
We are seeking a highly skilled and experienced Corporate/Real Estate Paralegal to join our small legal team at DiamondRock Hospitality Company , a publicly traded lodging REIT that owns 36 hotels across the United States. In this role, you will provide critical support to our asset managers, executive management, board members, and advisors. You will work closely with outside counsel, risk management, and our hotel management teams. Reporting directly to the General Counsel & Secretary , the successful candidate will be responsible for a wide range of real estate transactional matters, corporate governance, and legal operations tasks.
This is a hybrid position based at our corporate office in Bethesda, MD.
Responsibilities:
Real Estate:

  • Lead due diligence and closings for real estate acquisitions, dispositions and financings, including resolving complex title, survey and zoning issues.
  • Assist with the preparation, drafting and review of real estate documents, including hotel management agreements, franchise applications , service contracts, leases, estoppel certificates, and Covenants, Conditions and Restrictions.
  • Maintain and organize real estate files to ensure proper record-keeping and easy access.
  • Track and monitor compliance with real estate financing agreements .
Corporate Governance:
  • Assist with management of Board of Directors’ matters , including coordination of meetings, preparation of materials, minutes, and resolutions, and director onboarding and offboarding.
  • Maintain corporate records , prepare and maintain timelines and support governance-related inquiries.
  • Stay up to date on best practices in corporate governance .
Securities:
  • Support the preparation and review of SEC filings , including 10-Ks, 10-Qs, and 8-Ks.
  • Coordinate annual shareholder meetings and proxy materials.
  • Assist with reporting for certain SEC, NYSE, and other regulatory requirements.
Legal Operations:
  • Oversee domestic subsidiary matters , including formations, dissolutions, and filings.
  • Track and renew contracts, trademarks and major property-level licenses.
  • Manage service of process and track litigation matters, including collaborating with outside counsel, insurance consultants and property level management .  
  • Perform special projects and administrative support to the legal department as needed.
Qualifications:
  • Minimum of ten years of corporate legal experience with a strong foundation in real estate transactions.  Experience in hospitality law and/or corporate governance and securities regulations is highly preferred.
  • A Bachelor’s degree and paralegal certification preferred.
  • Demonstrated expertise in real estate transactions ; experience with publicly traded REITs or corporate governance is a plus.
  • Exceptional written and verbal communication skills , with the ability to explain legal concepts to non-legal professionals.
  • Proficiency with document management systems, electronic board portals and related software is required.
  • Meticulous attention to detail and strong organizational skills to manage multiple tasks and deadlines in a dynamic environment.
  • Self-motivated , able to direct your own work, solve problems independently, and raise issues when needed.
Benefits:
  • Base salary range: $120,000 to $170,000 (commensurate with experience). Candidates are also eligible for an annual performance bonus.
