Congenial Middletown, DE Company seeks an experienced Senior Corporate Paralegal.
The ideal candidate must have a m inimum of five years of specialized experience in corporate law and an excellent working knowledge of all business entities from formation through dissolution and transactional work, including mergers, acquisitions, stock purchase, asset purchase transactions and capitalization table management and valuation knowledge and use of Carta.
Here’s what an ordinary day of work might look like…
Drafting resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments and affidavits for all types of business entities, preparing and filing articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states, direct communication with clients and client advisors, complying with and understanding company operations, policies and procedures, keeping confidentiality of client and client’s client matters, performing other related duties as assigned.
What you will need to be successful...
Minimum of five years of specialized experience in corporate law, f amiliarity with corporate closings, venture capital financings, and NVCA forms, experience with capitalization table management and valuation , experience with taking board minutes and corporate secretarial functions.
